These Terms of Service ("Terms") are a binding agreement between you (the clinic owner, healthcare professional, or authorised representative — "you" or "Customer") and amdcode solution ("CareQ", "we", "us"). By creating a CareQ account or using the platform, you accept these Terms in full.
CareQ provides a cloud-based clinic and hospital management platform accessible at careq.amdcode.com (the "Service"). Features include appointment scheduling, patient record management, billing, WhatsApp booking integration, live queue management, analytics, and staff role management.
The Service is provided "as a service" — you access it via the internet and do not receive any software licence for installation. We may update, modify, or add to the Service at any time. We will not materially reduce core functionality during an active paid subscription without reasonable notice.
To use CareQ you must create an account. You agree to:
You are responsible for all activity that occurs under your account, including actions taken by staff members you invite.
New accounts receive a 14-day free trial with full access to all platform features. No credit card is required to start the trial.
At the end of the trial, your account will be paused. Your data will be preserved for 30 days. To continue using CareQ, you must subscribe to a paid plan. After 30 days of inactivity post-trial, your data may be permanently deleted.
We reserve the right to modify or end the free trial offering at any time for new sign-ups, without affecting trials already in progress.
Paid subscriptions are billed in advance, either monthly or annually, as selected by you. Current prices are published at careq.amdcode.com/pricing. All prices are in Indian Rupees (INR) and inclusive of applicable taxes unless stated otherwise.
Payment is processed by our gateway partners (Razorpay, Stripe, or PayU). By subscribing, you authorise recurring charges to your chosen payment method. Failed payments may result in temporary suspension of your account until the payment is resolved.
You may upgrade or downgrade your plan at any time. Upgrades take effect immediately, with the price difference prorated for the current billing period. Downgrades take effect at the start of the next billing period.
Payments are non-refundable except where required by applicable law, or at our sole discretion in cases of billing error. If you cancel mid-period, your access continues until the end of the period already paid for.
We may change our subscription prices. We will give at least 30 days' notice of any price increase via email and in-app notification. Continued use after the new price takes effect constitutes acceptance.
You agree not to use CareQ to:
We reserve the right to suspend or terminate any account that violates these provisions without prior notice.
You own your data. All patient records, clinic configurations, and data you enter into CareQ remain your property at all times. CareQ does not claim any ownership or right to use your data beyond what is necessary to provide the Service.
You grant CareQ a limited, non-exclusive, non-transferable licence to store, process, and display your data solely for the purpose of providing the Service to you.
You may export all your data at any time from your account settings. On account termination, data is deleted within 30 days as described in our Privacy Policy.
Data responsibility: As a healthcare provider, you are responsible for ensuring that your use of CareQ complies with all applicable laws governing the collection and processing of patient health information, including the Digital Personal Data Protection Act, 2023 and any sector-specific regulations applicable to your practice.
CareQ and its licensors own all intellectual property rights in the Service, including but not limited to the software, design, user interface, trademarks, and documentation. Nothing in these Terms grants you any right in CareQ's intellectual property other than the right to use the Service as described herein.
You may not use the CareQ name, logo, or brand assets without our prior written consent.
We target 99.9% monthly uptime for the CareQ platform. Scheduled maintenance windows will be announced in advance where possible. We do not guarantee any specific uptime level but will make commercially reasonable efforts to maintain service availability.
CareQ is not liable for downtime caused by factors outside our reasonable control, including third-party infrastructure outages, DDoS attacks, or acts of God.
Each party agrees to keep the other's confidential information secret, to use it only for the purposes of this agreement, and to protect it with at least the same degree of care used for its own confidential information.
CareQ's confidentiality obligations with respect to patient data are further governed by our Privacy Policy and, where applicable, our HIPAA compliance practices.
CareQ warrants that it will provide the Service with reasonable skill and care.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
CareQ is a practice management tool. It is not a medical device, clinical decision-support system, or electronic health record (EHR) in the clinical/regulatory sense. All clinical decisions remain the sole responsibility of qualified healthcare professionals.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by applicable law.
You agree to indemnify and hold harmless CareQ, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or third-party right; or (c) the data you enter into the platform, including any patient data.
You may cancel your subscription at any time from your account settings. Access continues until the end of the current paid period. No refund is provided for unused time unless required by law.
We may suspend or terminate your account immediately if: (i) you breach these Terms and fail to cure the breach within 7 days of notice; (ii) you fail to pay subscription fees; or (iii) continued provision of the Service becomes unlawful.
We may terminate your account with 30 days' notice for any other reason.
On termination, your right to access the Service ends. We will preserve your data for 30 days after termination so you can export it. After 30 days, your data will be deleted in accordance with our Privacy Policy.
These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of CareQ shall first be attempted to be resolved amicably. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of courts in India.
We may update these Terms from time to time. For material changes, we will provide at least 14 days' notice by email and in-app notification before the new Terms take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to the revised Terms, you may cancel your subscription before the effective date.
